Code of Conduct Standards of Business Conduct Introduction In order to provide a reference point and guide for corporate conduct and behavior within the Yaldram Security Services (Pvt) Ltd, the Company has the following standards of Business Conduct:
It is a fundamental policy of the Company that all employees observe and comply with the laws and regulation applicable to the company’s business and that they act with high standards of business integrity. All employees of the company are expected to know, understand and follow these Standards. No manager has the authority to order or approve any action that is contrary to any laws or regulations, or to the relevant Standards, and employees should not compromise the Standards for the sake of results under any circumstances. Compliance with laws and regulations.
All employees shall observe the laws and regulations of the Company. Bribery and corruption Employees and agents will ensure that:
They do not, directly or indirectly, offer, promise or give any gift, payment or other benefit to any person for the purpose of securing any improper business or other advantage. They do not, directly or indirectly, solicit, accept or receive any gift, payment or other advantage from any person in return for providing any improper business or other advantage; And Their activities do not otherwise contravene any applicable anti-corruption measures. Employees and agents are prohibited from making facilitation payments (directly or Indirectly) where this would be in breach of any applicable law. Charitable Contributions The Company is entitled to make contributions to charitable organization and provide non-commercial sponsorships, provided that they are not made to secure any improper business or other advantage, do not give rise to any conflict of interest and are otherwise permissible under all applicable laws. Competition Law The company will ensure that they comply with any competition laws. This is not only because compliance is required by law but also because the Company believes in free competition. It is the responsibility of directors and managers of the company to be aware of and familiarize themselves with any competition laws affecting the Company and their markets and to ensure compliance within their organization. Ethical Standards All Employees shall act with high standards of business Integrity and should not compromise those standards for the sake of results. Conflict of Interest Each Employee should avoid situations where his/her personnel interest could conflict, or might appear to, be in conflict with the interest of the YSS or another group company. The guiding principle is that an employee must disclose to higher management any conflict or potential conflict. The obligation of disclosure and of avoiding conflicts of interest applies not only to situations directly involving an Employee but also to situations involving any spouse, partner or other member of his immediate family which would have to be disclosed if they involved the Employee directly. The ownership of shares, stocks or other securities or interest in any company whose business activity involves the manufacture, sale or distribution of services which are in direct competition with any group company,or involves activities against their interests, is prohibited. Conflicts of interests can also arise when there are close family or personnel relationships between fellow employees within the same company , in particular where they are in the position of manager and subordinate. According to close relative of, and no person with whom a director or senior manager has a close personal relationship may be offered employment by the same Company. Entertainment and Gifts Employees and agents are permitted to offer and accept entertainment and hospitality in the course of business provided that it is modest, does no exceed reasonable business practice and is permissible under all applicable laws. Employees are not encouraged to give or Receive business gifts. No entertainment or hospitality should be Provided or accepted, and no gift should be given or accepted, in circumstances where it will have, or may be seen as having, a material effect on any business transaction which has been, or may be, entered into by or on behalf of the Company or which might give rise to a conflict of interest. The Company must ensure that their policies For entertainment and gifts prevent assets being used for unlawful or improper purposes and that the Standard or Bribery and Corruption is complied with fully Trade in the Company’s Product The Company and their Employees will ensure that: They do no knowingly engage in unlawful activities in their services; and Their business practices are directed at supporting only the legitimate trade in their products. The Company shall ensure it has in place Proper controls and procedures directed towards ensuring compliance with this policy; to include: Effectively know your customer Controls; Guidelines aimed at achieving supplies to end costumers that are consistent with legitimate demand in their areas or territory; Procedures for investigating and, where appropriate, suspending or terminating sales to customers suspected of knowing or reckless involvement in illicit trade activities. All documents prepared by the Company in connection with deals of its services, whether export or domestic, must be accurate and complete and give a proper view of the transaction. All such documents must be retained (together with relevant correspondence) in accordance with the approved records managements policy for possible inspection by tax, customs or other authorities. Inside Information and Corporate Opportunity No employees shall use inside information for his own pecuniary advantage or for that of a friend or relative. No employee may retain on his personal premises trade secrets or confidential commercial information relating to the Company. No employee shall disclose outside the Company any knowledge, decisions or other information which might be prejudicial to the interest of the Company or to its related entities. Interests in Company Businesses Employees should not own shares, stocks or other Securities or interest in companies, which manufacture,Sell or distribute products which complies with YSS or whose activities are otherwise contrary to the interests of YSS. Political Contributions and Payments to Politicians, Government Offcials or Employees YSS shall pursue policies, which prohibit corrupt practices with regard to the giving, or receipt of gifts and the use of their assets for unlawful or improper purposes. The Company or its Employees shall not make any donations or contributions to any political party or make any donations or contributions to any entity or individual for a political purpose. Furthermore,the Company or its Employees shall not give any monetary benefit directly or indirectly to any third party in return for receiving a direct or indirect commercial benefit. However, subject to the controls set out by the Company, the Company may make contributions to political parties and organizations based abroad, their officers, elected political and candidates for elective office, provided that such payments are Made solely for the purpose for influencing the debate on issue affecting the Company or Group, and not to achieve any improper business or other advantage (such as to secure a government contract);Not intended personally to benefit the recipient or his or her family, friends associates or acquaintances and Permissible under all applicable laws Insider Dealing and Market Abuse Employees who are aware of price sensitive, non-public information, which could affect the share price of YSS, shall not use or provide such information for profit or to avoid loss. No employee is permitted to deal in the shares or other securities of (or to enter into spread bets or other contracts for difference involving shares or other securities of) the Company , or of any other publicly quoted Group Company, or to encourage others to deal, while he has price sensitive non-public information which could affect the price of such shares or securities. Dealing in the shares or securities of any non-group publicly quoted company while in possession of price- sensitive information (for example that Group Company was considering making an offer for those shares) is also prohibited and may similarly be a criminal offence or otherwise unlawful.No employee shall commit Market Abuse. Money Laundering The company and its employees will: Not engage in any transaction which they know or suspect involve the proceeds of criminal activity No otherwise be knowingly involved directly or indirectly in any money laundering activity;and Pursue practices direct towards ensuring that their activities do not inadvertently contrivance any relevant money laundering legislation. Sanction The company will ensure that they do not Knowingly: Supply their products, or allow their products to be supplied to any person; or purchase goods from any person in contravention of any lawful sanction, trade embargo, export control or other trade restriction which is applicable to them. The company and their employees will also: ensure that they do not knowingly assist in the financing of , or otherwise provide support for, terrorist activity; and pursue practices to ensure that their activities do not otherwise inadvertently contravene any relevant anti-terrorism measures. Whistle Blowing The Company and the Group encourages any employee who suspects wrongdoing at work whether by his employing company or another employee to raise his concern through an internal whistle blowing procedure. The concerns can be raised through the HR Manager or through thedesignated officer, who currently are Head of Internal Audit and the Company Secretary of the Company. Concerns raised will be investigated properly and the identity of the person raising the concern will be kept confidential. Concerns may also be raised anonymously. This procedure is operated on behalf of the Audit Committee of the Company and is independent of management. The procedure may be used by contractors, Agency staff, temps and trainees, as well as by All employees and former employees throughout the group. Anyone raising a concern in the genuine belief that wrongdoing has occurred, is occurring or may be about to occur will not be penalized or suffer any form of victimization even if, after full investigation, it is shown that he was mistaken. Any form of reprisal against anyone who in good faith has raised a concern is forbidden and will itself be regarded as a serious offence to be dealt with under the Disciplinary Procedure. Exports The integrity of the Company’s transfer pricing policy must be maintained and the documentation supporting all transactions must be managed to support this accordingly.
